Terms and Conditions Online Consulting Purchase Agreement ‍ ALBEH CONSULTING, ALBEH CI SAS DE CV, Legal Entity with address at SOR JUANA INES DE LA CRUZ 305 COL 5 DE MAYO, TOLUCA CP 50140 (hereinafter "AC", with website www.albehci.com (hereinafter the "Site") makes available to visitors the terms and conditions that regulate the payment of fees for the contracting of the "ONLINE CONSULTING" service that AC sells to the public through the Site, in order that they be read carefully before any contracting, in the understanding that the continuation of the contracting process on the Site constitutes an express acceptance and manifestation of will to be bound by and to the terms and conditions mentioned below. ‍CLAUSES I. Glossary. ‍ONLINE CONSULTING: Service of BUSINESS CONSULTING Online. Electronic payment: The electronic manifestation of will made by the contractor to pay the price for Online Consulting, by providing AC with the debit or credit card details, of which he/she is the owner or has the authority to make charges on said card, without the need to stamp his/her autograph signature, if requested by the collection system used for such purpose by AC, or, cash payment made in self-service stores through the Confirmation Code. Confirmation Code. - The set of signs that are sent to the email address indicated to the Contractor (term indicated below) or that is found in the document acquired by any person to make effective the contracting of the Online Consulting service. Contractor: The person who has the legal capacity (of legal age) to contract on his/her own behalf or who has sufficient powers or faculties to contract on behalf and representing another person, whether physical or moral. Password: The set of signs that the Online Consulting buyer decides to provide, to access his Account (term indicated below). User Account: the virtual space that is granted to the Online Consulting Contractor or the visitor of the Site, of the products that he buys on the Site or of the Electronic Registry that he makes on the Site, so that he can store any purchase made on the Site or receive the information for which he registered on the Site. Price: Amount of the monetary consideration that must be paid to AC for the acquisition of Online Consulting that is offered. Electronic Registration: The registration form that is found on the Site, which is optional for the buyer. Notwithstanding the above, it is mandatory to fill out the form with all its fields with valid data in order to contract the Online Consulting service; or to use the computer system, with which AC provides the products purchased on the Site, to visitors or buyers; or to receive the information that AC offers to those who register for such purposes. Registration: The data that AC requires when contacting the Online Consulting service. User: The person who, with a Confirmation Code, makes use of the Online Consulting service in the computer system (T&C, a term defined in the general terms and conditions of use of the site found in the legal notices www.albehci.com), through which AC provides and delivers the products it offers to the public and that has been previously paid for under the conditions of this contract. II. Object The purpose of this contract is to establish the terms and conditions for contracting the Online Consulting service that AC offers to the general public on the Site. III. Conditions for purchasing assistance. Any visitor to the Site who wishes to contract the Online Consulting service must make the corresponding payment that appears published on the Site following the steps indicated in the contracting process. Once the contracting process is complete and the Online Consulting service has been paid for, the visitor will be called the contractor. The contractor may cancel the Online Consulting Service without liability for him/her within 24 hours of contracting, for which reason he/she will not be subject to penalty and will be reimbursed 100% of the amount paid for the Service. If the cancellation is made after 24 hours of contracting the Service, the contractor will be penalized with 50% of the total amount paid for the Service, for which reason only the remaining 50% will be reimbursed. If the cancellation is made during the 24 hours prior to the date and time in which it was chosen to use the Service, according to the contracting process, the contractor will be penalized with 100% of the amount paid. For one time only, the contractor may reschedule the appointment for a later date that does not exceed 30 calendar days after the date initially chosen, which may be done 24 hours prior to the date and time in which the contractor chose to use the Service. at the date and time when the Service was chosen to be used. The contractor must provide an email address to receive proof of payment for the Online Consulting contract or to receive both the confirmation code and the information necessary to receive assistance. In the event that information or documentation other than that provided in the registration is required, AC may request, by any means of communication, the information or documentation required for the proper provision of the service. IV. Refund. Refunds after a purchase of assistance is made apply in the manner detailed below: The contractor must send an email to the following address: legal@albehci.com and insert in the part of the email that establishes “Subject” the legend “REFUND REQUEST”. Likewise, in the email that is sent, the reasons for cancellation of the assistance must be stated. In the event that the assistance has not been used, AC will respond to said request and refund the amounts paid for the assistance under the terms described in this contract. V. Customer support purchase hours and hours to offer the customer support service. The hours in which a customer support purchase may be made on the site will be 24 (twenty-four) hours a day, 365 (three hundred and sixty-five days a year), subject to the provisions of the general terms and conditions of use of the site, which is part of the legal notices of the site and which is an integral part of this contract. Notwithstanding the foregoing, the use of the customer support service, subject to this contract, will be offered from 9 a.m. to 9 p.m., Monday through Friday. These hours do not include days declared as non-working days or holidays. Likewise, AC reserves the right to announce an additional non-working day in its activities to offer the service. VI. Taxes and fees. Taxes, duties and other fees imposed by federal, state or municipal governments shall be the responsibility of the contractor, who must pay them in full, along with the respective price. In the event that the User requires a tax invoice for the contracting of the Online Consulting service, he/she must request it at the time of the purchase procedure. For this purpose, he/she must provide his/her complete and correct billing information. Once the invoice is issued, there will be no re-invoicing. AC is obliged to issue the corresponding tax invoice in accordance with the tax requirements established in the current law. VII. Price. AC reserves the right to set and/or modify the prices offered to the public for assistance, at any time and without prior notice. The prices paid cannot be modified. AC will make the prices of the service available to the general public on the site. VIII. AC's obligations. The obligations that AC acquires with respect to the contractor and the user are those listed below: 1.- AC is responsible for providing each service contractor with the confirmation that will be issued for access to the service and that will be sent to the email registered by the User to which the session link will be attached for the contracted day and time. 2.- AC is obligated to send an email to the email address provided during the contracting process on the assistance site, which will contain the data listed below: a) The session link. b) Number of minutes of assistance purchased. c) A telephone number, exclusively for technical or contracting support. d) Any relevant information related to the purchase of assistance; and a physical address of the offices where AC is located and an AC email, to provide customer service in case of questions or clarifications regarding the purchase of assistance. AC is released from any liability arising from any error when indicating the email address receiving the confirmation code to make the purchase assistance effective. 3.- AC must deliver the session link to the email address indicated during the purchase process, except in the case where it is proven that said email was not received, for any reason, in which case, the contracting party may contact AC to indicate a different email address, for one time only, to receive the confirmation code and make the assistance effective. 4.- AC may store the purchase of the assistance in the corresponding account for one month from the date of receipt of the confirmation date of purchase registration or until the assistance is consumed, whichever occurs FIRST, except in the case that any fault or violation occurs to which the general terms and conditions of use of the site refer, which is part of the legal notices, in which case, the account will be disabled and the information stored in the account will be lost to the entire detriment of the owner thereof. 5.- Provide assistance to the user under the terms and conditions in clause V. Hours of purchase of assistance and hours of provision of user assistance services, of this contract. IX. Obligations of the contractor. The obligations acquired by the contractor of the Online Consulting service on the site are those listed below in an enunciative manner and without prejudice to all those obligations to which he is obliged by the visit and purchase of and on the site and that are indicated on the site and that form an integral part of this contract, in addition to all those obligations that arise from the legislation applicable to the sales contract: 1.- Pay the price. 2.- Provide truthful and lawful information, which is required during the contracting process; 3.- Provide a valid email to receive the link of the contracted session. 4.- Voluntarily create an account to store your contracts; 5.- You are responsible for the administration of the account; 6.- Use the site in strict compliance with what is established in the general terms and conditions for the use of the site, for the use of the account; and 7.- Contact AC in case of questions and clarifications regarding your purchases. X. User Obligations The obligations acquired by the user who accesses the PPPI (a term indicated in the General Terms and Conditions of Use of the site, as part of the legal notices of the website www.albehci.com) are those listed below, by way of example and without prejudice to all those obligations to which they are bound by viewing and accessing the PPPI (a term indicated in the General Terms and Conditions of Use of the site, as part of the legal notices of the website www.albehci.com) and which are indicated on the site and which form an integral part of this contract, in addition to all those obligations that arise from the legislation applicable to the sales contract: 1.- The user must save the link of the contracted session that will be sent to the registered email address immediately after completing the contract and which will be the same one that will be received subsequently in the email address indicated during the contracting process. 2.- The user is solely responsible for the link of the contracted session. 3.- AC will recognize as a user any person who accesses the PPPI with a link to the valid contracted session or any person who makes use of the PPPI after having made a successful payment, and is therefore released from any liability to the contractor if assistance is offered to a different person. XI. Liability. a. AC is released from any liability arising from any act described below: 1.- That the legal assistance received by the user is adequate for the situation raised during the session. 2.- That the assistance is issued with errors or that the legal opinion issued during the assistance is not adequate for the situation raised by the user. 3.- That the session is interrupted at any time, for reasons attributable to the Internet service, whether of the user or of the one contracted by AC to offer the assistance service. 4.- That the data offered by the user during the assistance is true and exact to the situation for which a legal opinion is required. 5.- That a third party exercises any judicial or extrajudicial action regarding the assumption raised by the user during the presentation of the assistance service; 6.- That the assistance cannot be offered to the user due to unforeseen circumstances or force majeure; 7.- Regarding any assumption similar to those indicated in previous paragraphs; or 8.- That the person who provides the credit or debit card information to make the purchase of assistance on the site is the holder of said card or the person authorized to make charges to it. b. AC is obliged to offer the assistance service in the audiovisual media indicated on the site. c. Likewise, any advice that you require from AC in addition to the minutes purchased has a different cost and said advice is not included in the sale price of the assistance purchased, unless expressly agreed otherwise established in the offer for the sale of the assistance itself; d. AC limits its civil, objective, subjective, administrative, criminal and any other liability that may arise from the provision of the assistance service to the price paid for it; e. AC offers assistance for the following reasons:virtual media and in the way in which the video call content is received, without providing any express, implicit or legal guarantee, including those of suitability for specific uses or systems for receiving video calls by the user, nor does it offer any guarantee regarding the absence of violations or errors in the content of the assistance and is released from any liability arising from any of the assumptions indicated in this section. f. The Consulting that AC will offer through the Online Consulting service only constitutes an opinion on the information provided by the user in the session, without this implying submission to that opinion, nor the solution to the problem raised, since this will depend on the strategy that could eventually be contracted by the parties that will necessarily be subject to a contract for the provision of Consulting services. g. The contracting party and the user acknowledge and accept that the limitations of liability agreed upon in this contract constitute an essential element of the agreement and are therefore reasonable, since they constitute an essential element to maintain the economic conditions of this legal instrument and the price for assistance published on the site. XII. Modifications AC reserves the right to adapt, modify or correct the content of this contract at any time, subject to any applicable regulation. In any case, the service provided in accordance with the terms and conditions that were in force at the time of contracting, unless otherwise provided by law. XIII. Validity of the content of the contract Even if any provision established in this instrument may be invalidated by court order, the other provisions will retain their validity and force; and will continue to be considered binding on the parties. XIV. Interpretation Any contradiction between the content of this contract and any agreement to which the contractor and the user are subject, prevails what is stipulated in the terms and conditions of use of the site, which are part of the legal notices of the website www.albehci.com. Any controversy arising from this agreement, its existence, execution, validity, interpretation, scope or compliance, will be submitted to arbitration in accordance with the applicable laws in Toluca, State of Mexico. For the interpretation, compliance and execution of this contract, the parties expressly submit to the jurisdiction of the competent authorities of Toluca, State of Mexico, consequently waiving the jurisdiction that may correspond to them by reason of their present or future domicile, to carry out the corresponding arbitration.
